Acceptance of Terms
These Terms & Conditions ("Terms") govern your use of the website located at codetagz.com ("Site") and any services provided by CodeTagz ("we", "us", "our"), a sole proprietorship based in Hyderabad, Telangana, India.
By accessing the Site, submitting an enquiry, or engaging us for a project, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use our Site or services.

Our Services
CodeTagz offers the following software development services:
- ·Full-stack web application development (Next.js, Node.js, PostgreSQL)
- ·Mobile application development (React Native, iOS & Android)
- ·Backend development, REST APIs, and database design
- ·Admin panels and content management systems
- ·E-commerce and marketplace platforms
- ·Performance audits and SEO technical implementation
All services are provided remotely. We reserve the right to decline any project enquiry at our discretion.

Project Engagement
Every project follows a defined process to ensure clarity and accountability on both sides:
Enquiry
You submit a project brief via our contact form or email.
Discovery
We arrange a discovery call to understand your goals, scope, and constraints.
Proposal
We provide a written, fixed-price proposal with deliverables, timeline, milestones, and payment schedule.
Agreement
Both parties confirm acceptance of the proposal in writing (email is sufficient). This constitutes the project agreement.
Build
Development begins after the initial payment is received. You receive milestone demos throughout.
Delivery
We hand over the final product, all source code, and deployment credentials upon final payment.
Scope changes
The written proposal defines the agreed scope. Any additions, changes, or feature requests outside the agreed scope must be approved in writing by both parties and may result in additional charges and timeline adjustments. We will never start out-of-scope work without your explicit written approval.
Your responsibilities
Timely delivery of your project depends on you providing required content, feedback, and approvals within agreed timeframes. Delays caused by your side may extend the project timeline and are not grounds for a refund.

Payment Terms
Structure
Unless otherwise agreed in writing, payments are structured as milestone-based instalments. A typical project follows this schedule:

Multi-phase projects may have additional intermediate milestones, as specified in the proposal.
Payment methods
We accept bank transfer (NEFT / IMPS / UPI for India), PayPal, and wire transfer for international clients. Payment details are provided on the invoice.
Late payment
If a payment is not received within 7 days of the invoice due date, we reserve the right to pause work until the outstanding amount is cleared. Persistent non-payment may result in project termination under Section 09.
No refunds on completed milestones
Payments made for completed and delivered milestones are non-refundable. If a project is cancelled mid-way, you will be invoiced for work completed to the cancellation date.
Taxes
All quoted prices are exclusive of applicable taxes. GST (Goods and Services Tax) is applicable for Indian clients as per Indian tax law. International clients are responsible for any applicable taxes in their jurisdiction.

Intellectual Property
What you own
Upon receipt of full and final payment, you receive full ownership of all custom code, designs, and deliverables created specifically for your project. This includes the right to modify, distribute, and commercialise the work without restriction.
What we retain
We retain the right to display your project as a case study in our portfolio and marketing materials, unless you request otherwise in writing or we agree to a mutual NDA before the project begins. We will always seek your permission before mentioning confidential business details.
Third-party components
Projects may include open-source libraries, frameworks, and packages governed by their respective licences (MIT, Apache, etc.). These licences are not transferred — they remain as-is. We will always use properly licenced open-source components and never include illegally obtained code.
Pre-existing work
Any tools, boilerplates, or internal libraries we developed before your project began remain our intellectual property. You receive a licence to use them within your deliverables, but not to resell them as standalone products.

Confidentiality
We treat all project-related information — business ideas, technical specifications, financial data, and customer data shared with us — as strictly confidential. We will not disclose this information to any third party without your prior written consent, except where required by law.
If your project involves particularly sensitive information, we are happy to sign a formal Non-Disclosure Agreement (NDA) before any discussions take place. Please request this before sharing sensitive details.
This confidentiality obligation survives the completion or termination of the project for a period of 3 years.

Warranty & Post-Launch Support
What we guarantee
- ·All deliverables will function as described in the agreed proposal at the time of handover.
- ·Code will be production-grade, following current best practices for security and performance.
- ·We provide 2 weeks of free post-launch support covering bugs in our delivered code.
What we do not guarantee
- ·Uptime or performance of third-party services (cloud hosting, payment gateways, external APIs).
- ·Ongoing compatibility with future third-party updates after the project handover.
- ·Business outcomes such as revenue, user growth, or search engine rankings.
- ·Bugs or issues arising from modifications made to our code by you or a third party after handover.
Post the 2-week support period, ongoing maintenance and support is available as a separately quoted retainer or on a per-issue basis.

Limitation of Liability
To the maximum extent permitted by applicable law, CodeTagz's total liability to you for any claim arising out of or related to our services shall not exceed the total amount paid by you to us for the specific project giving rise to the claim.
We shall not be liable for any:
- ·Indirect, incidental, or consequential damages
- ·Loss of business, revenue, data, profits, or goodwill
- ·Damages arising from third-party service failures (hosting, APIs, payment processors)
- ·Delays caused by factors outside our reasonable control (force majeure)
Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

Termination
By you
You may cancel a project at any time by providing written notice to hello@codetagz.com. You will be invoiced for all work completed up to the date of cancellation based on the agreed rate, prorated from the current milestone payment.
By us
We reserve the right to terminate a project with 7 days written notice if:
- ·Payment is overdue by more than 14 days
- ·You act in a way that is abusive, illegal, or harmful
- ·You ask us to build something that is illegal, fraudulent, or unethical
- ·Project requirements have changed substantially beyond the agreed scope without resolution
Upon termination, you will receive all completed work to date. Ownership of that work transfers upon settlement of any outstanding invoices.

Website Use
By using this Site, you agree not to:
- ·Use the Site for any unlawful purpose
- ·Attempt to gain unauthorised access to any part of our systems
- ·Submit false or misleading information through our contact form
- ·Scrape, harvest, or copy our content without written permission
- ·Impersonate CodeTagz or any of our team members
All content on this Site — including text, graphics, logos, and code samples — is owned by CodeTagz or used with permission. You may not reproduce or distribute it without our prior written consent.

Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.
Before initiating any legal proceedings, both parties agree to make a genuine effort to resolve disputes amicably through good-faith negotiations for a period of at least 30 days.

Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. For active project clients, material changes that affect your engagement will be communicated directly. Your continued use of the Site or engagement of our services after changes are posted constitutes your acceptance.
